Terms of Service

These Terms apply to Conduit's websites, private-beta software, and internally administered integrations.
These Terms of Service ("Terms") are an agreement between you and PABB, LLC, doing business as Conduit ("Conduit," "we," "us," or "our"). By accessing our websites, communicating with us, or accessing or using Conduit, you agree to these Terms. If you use Conduit on behalf of a business, you represent that you are authorized to bind that business.
1. Conduit Private Beta
Conduit is an AI operating system for home service companies. Conduit is currently offered in private beta and may include communications, scheduling, dispatch, customer, operational, marketing, reporting, and automation features. Access is invitation-only unless we state otherwise.
Private-beta features may change, be incomplete, contain errors, or be suspended. We may add, modify, limit, or remove beta functionality at any time. You should independently verify important outputs and maintain appropriate human oversight.
2. Accounts and Authorized Use
You must provide accurate information, protect account credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring your personnel use Conduit lawfully and consistently with these Terms.
You may not misuse the services; interfere with their operation or security; access data or accounts without authorization; reverse engineer or probe the services except where law expressly permits; upload malicious code; use the services to violate law or third-party rights; or resell access without our written permission.
3. Google Ads Integration
Conduit includes an internal, administrator-managed Google Ads component. If you authorize or link a Google Ads account, you authorize designated Conduit employees and contractors to access that account through Google Ads interfaces and APIs for agreed services. These services may include account inspection, reporting, keyword planning, campaign planning, campaign creation, campaign management, budget and bidding changes, targeting, ads, assets, keywords, negative keywords, conversion configuration, troubleshooting, and related support.
Campaign actions can affect advertising delivery and spend. We use human review and scoped change controls, but you remain responsible for your Google Ads account, billing arrangements, advertiser obligations, business claims, landing pages, and compliance with Google policies and applicable law. You may revoke manager access through Google Ads account settings.
We do not guarantee impressions, clicks, leads, conversions, revenue, ranking, cost per lead, return on ad spend, or any other advertising result. Google services are governed by Google's own terms and policies.
4. AI and Automated Features
Conduit may use artificial intelligence and automated systems to generate suggestions, summaries, communications, classifications, schedules, reports, or actions. These outputs may be inaccurate or incomplete and should not replace professional judgment. You are responsible for reviewing consequential outputs and configuring appropriate permissions, approvals, and escalation paths.
5. Communications and SMS
If you provide a telephone number or initiate communications with us, you consent to receive service-related, support, authentication, and scheduling communications. Message frequency varies, and message and data rates may apply. Reply STOP to opt out of applicable text messages or HELP for assistance. Marketing messages, if any, require the consent required by applicable law.
6. Customer Data and Privacy
You retain your rights in information you submit or authorize us to access. You grant us the limited rights necessary to host, process, transmit, and use that information to provide, secure, support, and improve the services and to comply with law. You represent that you have all permissions and legal bases necessary to provide the information and instruct us to process it.

7. Third-Party Services
Conduit may interoperate with third-party platforms such as Google, communications providers, cloud providers, scheduling systems, payment providers, or other business systems. Third-party services are controlled by their providers and are subject to separate terms and availability. We are not responsible for third-party services or changes made by their providers.
8. Intellectual Property
Conduit, our websites, software, designs, documentation, trademarks, and related materials are owned by us or our licensors and are protected by applicable law. Subject to these Terms and any separate written agreement, we grant authorized users a limited, revocable, nonexclusive, nontransferable right to use Conduit during the authorized access period.
9. Confidentiality
Private-beta functionality, nonpublic documentation, credentials, pricing, security information, and other information identified as confidential or reasonably understood to be confidential must be protected and used only for the authorized relationship. This obligation does not cover information that becomes public without breach, was already lawfully known, is received lawfully without restriction, or is independently developed.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR WEBSITES, CONDUIT, BETA FEATURES, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR EVERY PURPOSE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, ADVERTISING SPEND, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE WEBSITES OR SERVICES. ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Suspension and Termination
We may suspend or terminate access where reasonably necessary to protect security, prevent abuse, comply with law, address nonpayment, enforce these Terms, or discontinue a private-beta feature. Upon termination, your right to use the affected service ends. Provisions that by their nature should survive will survive.
13. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Unless applicable law requires otherwise, disputes arising from these Terms or the services will be brought in the state or federal courts located in New York County, New York.
